At the board of directors meeting held on November 30, 2023, MagMag Co., Ltd. (Headquarters: Shinagawa-ku, Tokyo, President and CEO: Takashi Matsuda, hereinafter referred to as “the Company”) announced on September 29, 2023, “Conclusion of Basic Agreement for Business Transfer.” Regarding the matter already disclosed in the “Notice,” we have resolved to enter into a business transfer agreement with Bazukuri Co., Ltd. (Headquarters: Minato-ku, Tokyo, Representative Director: Taichi Sato) regarding the subject business, and the agreement has been concluded as of today. So, I would like to inform you.
1. Reason for transfer
Since starting our web media service in 2014, we have launched media in a wide variety of genres and expanded our users and customers. PLAYLIFE, a domestic outing information media operated by Bazukuri Co., Ltd., can easily generate synergy with the travel media developed by our company, and in the future, we will share know-how in the media advertising business and establish a position as a front-line posting media. At the same time, we aim to further improve our business through synergies with existing media and grow our media advertising business.

This applies to the posting media “PLAYLIFE (https://play-life.jp/)” business. (2) Sales of the business in the immediately preceding business year Sales for July 2023: 17 million yen
