(Step 1) As of today, December 15th, our company acquired all the shares of our group company SPS Co., Ltd. (Head office: Minato-ku, Tokyo, President and CEO: Akifumi Murota, hereinafter “SPSS”). The transfer will be made to Gaga Co., Ltd. (Headquarters: Minato-ku, Tokyo, President and CEO: Tatsumi Yoda, hereinafter referred to as “Gaga”), a group company. (Step 2) As separately announced, the Company also announced today that the Company will acquire all the shares issued by Fukuya Holdings Co., Ltd. (Headquarters: Chiyoda-ku, Tokyo, Representative Director and President: Keiichiro Tanaka, hereinafter referred to as “Fukuya HD”). The resolution was passed at the Board of Directors meeting.
