DEECH Co., Ltd., management team announces MBO implementation *With the implementation of MBO, DEECH enters its second founding period! ! * DEECH Co., Ltd. (Headquarters: Shinjuku-ku, Tokyo, Representative Director and CEO Yoshikazu Kosuge, Representative Director COO Tadashi Sato) will be managed by Yoshikazu Kosuge, Representative Director and CEO, and Tadashi Sato, Representative Director and COO, as of August 30, 2024. We would like to inform you that we have conducted a buyout (hereinafter referred to as MBO) and purchased 86% of our company’s shares held by Design One Japan. Additionally, we have agreed to gradually purchase the remaining 14% of the shares.
Through this MBO, we will contribute to updating area marketing solutions, whose market is expanding year by year, by realizing flexible and quick decision-making in line with the era of
uncertainty, and we will also be able to commit to the growth of our customers as much as possible. I’m coming.
* ■Background of MBO implementation*
May 2021. Through the M&A of Design One Japan Co., Ltd., which is listed on the First Section of the Tokyo Stock Exchange (currently on the TSE Standard), we have been conducting business activities for three years and three months as a consolidated subsidiary. However, the marketing support and SaaS industries in which DEECH is the main field are in increasing demand for technical solutions year after year, and there is an urgent need for continuous development and improvement of the area marketing system “DEECH” developed in-house. I was there. Up until now, we have been operating the organization as a consolidated subsidiary of Design One Japan, but as we cannot expect synergies within the group, we have concluded that the future growth of the area marketing market and speedier decision-making are necessary. Therefore, we chose MBO.
After discussions with Design One Japan Co., Ltd., we have come to an agreement with Yoshikazu Kosuge, Representative Director and CEO, and Tadashi Sato, Representative Director and COO, to acquire all of the company’s shares held by Design One Japan.
